Short Definition
Fractional ownership is holding a defined share of a property or property portfolio jointly with others, so an investor can enter the real estate market with less than the full price and shares returns and risks in proportion to their stake.
Overview
Legal Basis
The rules depend on the form: co-ownership is governed by the Civil Transactions Law issued by Royal Decree No. M/191 dated 29/11/1444H and proven by registration on the deed and in the Real Estate Registry; real estate funds and REITs are governed by the CMA's Real Estate Investment Funds Regulations; real estate contributions require CMA approval and a REGA licence before being offered, marketed or funded; and tokenized shares operate within REGA's regulatory sandbox. Ownership of flats in subdivided buildings is governed by the Law of Ownership, Partition and Management of Real Estate Units issued by Royal Decree No. M/85 dated 2/7/1441H.
Practical Example
Faisal has SAR 50,000 and wants to enter the property market. Option one: buy units in a listed REIT, receiving distributions from the fund's profits (it must distribute at least 90% of net profits) and able to sell on the exchange at any time. Option two: join 19 partners to buy a SAR 1,000,000 warehouse with a 5% share registered on the deed; if net rent is SAR 80,000 a year (8%), his share is SAR 4,000, but selling his share or partitioning the warehouse needs the partners' agreement. Faisal chooses the REIT for easier exit, aware that he owns fund units rather than a share in a specific property.
Common Mistakes
- ✗Believing that REIT unit holders own part of a specific property — they own units in a fund.
- ✗Joining a ‘real estate contribution’ marketed on social media without a REGA licence and CMA approval.
- ✗Buying a co-owned share without a written agreement among partners on management, income distribution and exit.
- ✗Confusing investment fractional ownership with owning a flat in a subdivided building.
- ✗Ignoring management fees and exit difficulty when comparing advertised returns.
International Differences
In many markets fractional ownership spreads through REITs and pooled-investment platforms, usually supervised by capital-market regulators. Turkey has listed real estate investment companies (GYO), and Dubai has seen fractional-ownership platforms under the supervision of its property and financial authorities. In Saudi Arabia supervision is split between the Capital Market Authority (funds and REITs) and REGA (contributions, tokenization and the Real Estate Registry), so checking which authority licensed a product is the first step before investing.
