Short Definition
Real estate tokenization is the conversion of ownership rights in a property, or in its income, into encrypted digital units (tokens), each representing a defined share, so they can be owned and traded in relatively small amounts with an electronic trail of ownership.
Overview
Legal Basis
There is not yet a stand-alone tokenization law; tokenization is carried out within REGA's regulatory sandbox and under its supervision, with tokens linked to the Real Estate Registry governed by the Real Estate Registration Law issued by Royal Decree No. M/91 dated 19/9/1443H. Anything offered to the public as a security or investment fund is subject to the Capital Market Law and CMA regulations, and the real estate contributions rules prohibit offering, marketing or collecting funds for a contribution before CMA approval and a REGA licence.
Practical Example
A commercial building worth SAR 10,000,000 is tokenized within the regulated pilot framework into 10,000 tokens of SAR 1,000 each. Noura buys 5 tokens for SAR 5,000, a 0.05% share of the asset. If the building's net annual rental income is SAR 700,000 (7%), her share before platform fees is SAR 350 a year. Before buying, Noura checks that the platform is among the entities licensed in REGA's sandbox, that the tokens are linked to the property's deed in the Real Estate Registry, and what the resale terms and fees are.
Common Mistakes
- ✗Investing in property tokens offered by unlicensed platforms or outside REGA's sandbox.
- ✗Confusing a property token with a cryptocurrency, or assuming the token's value is unaffected by the property's performance.
- ✗Overlooking platform fees and resale terms — exiting can be hard if demand for the tokens is weak.
- ✗Not checking that the tokens are linked to the property's deed in the Real Estate Registry.
- ✗Treating tokenization as a guaranteed return; rental income is affected by vacancies, maintenance and market changes.
International Differences
Real estate tokenization is growing worldwide, mostly within pilot frameworks: Dubai has piloted tokenized title deeds, and several countries treat investment tokens as securities regulated by capital-market authorities. In most markets the decisive question is whether the token is linked to an official ownership register or is merely a contract with the platform. The Saudi model answers by tying tokenization to the Real Estate Registry under REGA's supervision, with the Capital Market Authority covering anything that takes the form of a security.
