Can a real estate office charge commission without a FAL licence?

Short answer

No. The Real Estate Brokerage Law (Royal Decree M/130 dated 30/11/1443H) bars anyone from practising brokerage before obtaining a licence from the Real Estate General Authority (REGA), and it makes commission the right of a licensed real estate broker under a written brokerage contract deposited with REGA, which cannot be relied on otherwise. Brokering without a licence is a violation fined SAR 1,000 to 5,000 for a first offence depending on where the violation takes place, more on repeat, within a statutory ceiling of SAR 200,000.

What the law requires before commission is due

Article 4 of the law says brokerage and real estate services may only be practised after obtaining a REGA licence. The law defines a real estate broker as a licensed natural or legal person, and commission as the amount the broker is entitled to for brokerage.

Article 7 requires the brokerage contract to be in writing and to have a set term (90 days from signing if none is agreed), and the broker must deposit a copy with REGA. Under Article 15, commission is due when the deal is completed under the contract while it is in force, or within two months after it ends if the broker proves his role. Al-Watan reported on 30 November 2023 that a court dismissed a SAR 30,000 commission claim because the brokerage contract had not been written and deposited with REGA.

Fines for brokering without a licence

Article 18 makes unlicensed brokerage or real estate services a violation, and Article 19 allows one or more of these penalties: a warning, suspension of up to one year, cancellation of the licence, and a fine of up to SAR 200,000, which may be doubled for a repeat within three years. If another law punishes the same act more harshly, the harsher penalty applies (Article 21).

Working after a licence has expired is a separate violation with lower fines: SAR 1,000, then 2,000, then 4,000 in Category A. For practising with no licence at all, the violations table annexed to the Implementing Regulation sets the fine by where the violation takes place:

  • Category A, including Riyadh, Jeddah, Makkah, Madinah and Dammam: SAR 5,000 for a first offence, then 10,000, then 20,000.
  • Category B, including Al-Kharj, Yanbu, Qatif, Unaizah and Khamis Mushait: SAR 3,000, then 6,000, then 12,000.
  • All other governorates and centres (Category C): SAR 1,000, then 2,000, then 4,000.

Offices and their staff

A brokerage office needs a licence in its own right: the firm must hold a valid commercial registration covering the licensed activities and have a qualified responsible manager. Everyone who provides real estate services in a licensed firm must pass the qualifying programme and be registered on REGA’s platform before practising. The broker must also show its name and licence number in every property ad and put the licence number in the brokerage contract and all its dealings.

Steps

  1. Ask the office for its FAL licence number, then check the licence with the “Enquiring about the FAL License” service on REGA’s Real Estate Enquiries page by entering the broker’s ID number or the establishment number.
  2. Do not start before there is a written brokerage contract stating the commission rate or amount and the term, deposited on REGA’s platform once the parties approve it; you can check it with the “Inquiry about Brokerage Contracts” service.
  3. Do not leave the earnest money with the broker as security for the commission; Article 13 of the law forbids this.
  4. If the person asking for commission is not licensed, report it to REGA through Contact Us, then Reports, after signing in with Nafath, or call REGA’s unified number 199011, and attach any ads and messages you have.
  5. Any money dispute over commission is for the competent court; the claim is filed online with the Statement of Claim service on Najiz.

Follow-up questions

Is a licensed broker owed commission without a written contract?

Under Article 7, a brokerage contract cannot be relied on unless it is written and deposited with REGA. In the case Al-Watan reported in 2023, the court dismissed the commission claim for this reason, even though the claimant said the sale had gone through.

What if the broker’s licence has expired?

A licence lapses when its term ends, and working after that is a separate violation in the violations table. Renewal is requested in the 60 days before the expiry date (Article 8 of the Implementing Regulation).

How much is the commission and who pays it?

2.5% of the deal value for a sale, or of the first year’s rent for a lease, unless agreed otherwise in writing; it is paid by the party that contracted the broker (Article 14). You can work it out with the brokerage commission calculator.
