Short Definition
A private auction is an auction limited to invited or pre-qualified bidders without public announcement, used in some markets for discreet luxury sales; it is not a separate regulatory category in Saudi Arabia, where a real estate auction is defined as public bidding.
Overview
Legal Basis
Article 1 of the Real Estate Brokerage Law, issued by Royal Decree No. (M/130) dated 30/11/1443H, defines real estate auctions as «the activity of public bidding on a property»; Article 4 prohibits providing real estate services without a licence; Article 18 lists providing misleading information or concealing material information about a property as a violation; and Article 19 allows fines of up to SAR 200,000. REGA's Real Estate Auctions Regulation (REGA Board decision of 1/12/1444H) requires an auction request to be filed with REGA (Art. 6), the bulletin to be listed on the platform before being made public (Art. 8), and auction data to be published on REGA's platform (Art. 2/3), and it applies to all real estate auctions in the Kingdom (Art. 11).
Practical Example
The owner of a Jeddah mansion appraised at SAR 25,000,000 wants a discreet sale, and an unlicensed intermediary proposes a «private auction» for ten investors on a messaging group, without notifying REGA. His adviser points out that this arrangement does not meet real estate auction requirements, so he instead signs an exclusive brokerage contract with a licensed establishment. The broker approaches five potential buyers, receives written offers, discloses an existing mortgage on the property, and sells the mansion for SAR 24,300,000 at a 2.5% commission (SAR 607,500) paid by the owner under the contract, while preserving confidentiality.
Common Mistakes
- ✗Running a «private auction» through messaging groups without a licence or REGA approval — a breach of the Brokerage Law and the auction regulation.
- ✗Assuming a private auction is exempt from disclosing mortgages and disputes — concealing material information is a violation with fines of up to SAR 200,000.
- ✗Confusing inviting offers from selected buyers with a regulated auction — the former is an ordinary brokerage deal requiring a written brokerage contract.
- ✗Assuming auction results remain entirely confidential — data on regulated auctions is published on REGA's platform.
- ✗Relying on an unlicensed intermediary for the sake of discretion — the parties lose the legal protections for commission and earnest money.
International Differences
Private or closed auctions are common in some Western markets for luxury real estate and art, with a limited list of qualified buyers invited. In the UK, «sealed bids» are sometimes used as a form of private treaty sale rather than a public auction. In the UAE, auction companies may hold sessions for qualified investors. The Saudi model differs in that the legal definition of a real estate auction is public by nature and tied to registration on REGA's platform, so confidentiality is usually achieved through negotiated brokerage rather than by auction.
