Short Definition

VAT registration is the enrolment of a person carrying on an economic activity, whether an individual or an entity, with the Zakat, Tax and Customs Authority (ZATCA) to obtain a tax identification number.

Overview

VAT registration is the enrolment of a person carrying on an economic activity, whether an individual or an entity, with the Zakat, Tax and Customs Authority (ZATCA) to obtain a tax identification number. Once registered, the person must charge VAT on taxable supplies and file periodic returns, and in return may deduct input VAT. Registration depends not on total 'revenue' but specifically on the value of taxable supplies. In Saudi Arabia, registration is mandatory when taxable supplies in the past 12 months exceed SAR 375,000, or are expected to exceed it in the next 12 months; the application must be filed within 30 days of the end of the month in which the threshold was crossed. Voluntary registration is allowed once supplies or expenses reach SAR 187,500, and persons below that level cannot register. Late registration is penalised by a SAR 10,000 fine under Article 41 of the VAT Law, on top of the tax due. A non-resident liable to pay VAT on supplies in the Kingdom must register within 30 days of the first such supply, with no threshold. In real estate, the threshold counts only taxable supplies: commercial rent, brokerage commissions, property management fees, and hotel and serviced-apartment income. Residential rent and property sales (which bear Real Estate Transaction Tax instead of VAT) are exempt supplies and are excluded. Once registered, a person files monthly returns if annual taxable supplies exceed SAR 40 million and quarterly returns otherwise, pays the tax by the last day of the month following the period, and must display the registration certificate at its place of business.

Legal Basis

Registration is governed by the VAT Law issued by Royal Decree No. (M/113) dated 2/11/1438H, the Unified GCC VAT Agreement which sets the registration thresholds, and the Implementing Regulations issued by ZATCA Board Resolution No. (3839) dated 14/12/1438H, as amended, which regulate mandatory and voluntary registration, registration of non-residents, deregistration and tax periods. Article 41 of the Law imposes a SAR 10,000 fine for late registration.

Practical Example

A Saudi citizen in Dammam owns a building with 10 apartments let residentially for SAR 300,000 a year, plus 6 shops each let for SAR 70,000 (SAR 420,000 a year). When he checks the rolling 12-month total at month-end, he excludes the residential rent because it is exempt, so his taxable supplies are SAR 420,000, above the SAR 375,000 mandatory threshold; he must apply to register within 30 days of the end of that month. Once registered, he adds 15% to each shop's rent (SAR 10,500) and files quarterly returns. With only 3 shops (SAR 210,000), registration would be voluntary; and if he registered late he would face a SAR 10,000 fine and would bear the VAT he failed to collect from tenants.

Common Mistakes

  • ✗Counting residential rent or property sale proceeds towards the threshold, although they are exempt supplies and excluded.
  • ✗Believing individual owners of shops need not register; the test is the value of taxable supplies, not the landlord's legal form.
  • ✗Waiting until the financial year-end, when the test is applied at the end of every month on the past 12 months and the expected next 12 months.
  • ✗Issuing tax invoices or collecting VAT before registration, a violation that can be fined up to SAR 100,000.
  • ✗Registering voluntarily and then trying to deregister quickly; a voluntary registrant cannot apply to deregister within 12 months unless its activity has ceased.

International Differences

UAE registration thresholds mirror Saudi Arabia's because both apply the Unified GCC Agreement (AED 375,000 mandatory and AED 187,500 voluntary), but with a 5% VAT rate. Turkey has no registration threshold: anyone carrying on an activity subject to VAT (KDV) registers with the tax office, with a general rate of 20%. In Egypt, registration is tied to a minimum sales threshold set by its VAT law, with a general rate of 14%. Saudi Arabia is distinctive in testing the threshold monthly on a rolling basis and in excluding residential rent and property sales from the calculation.

FAQs

What is the mandatory VAT registration threshold in Saudi Arabia?▾
SAR 375,000 of taxable supplies in the past 12 months, or expected in the next 12 months. The application must be filed within 30 days of the end of the month in which the threshold was crossed.
Does residential rent count towards the VAT registration threshold?▾
No. Leasing residential property is an exempt supply, as is a property sale subject to Real Estate Transaction Tax, so neither counts. Commercial rent, hotel and serviced-apartment income, commissions and property management fees do count.
What is the penalty for late VAT registration?▾
A fine of SAR 10,000 under Article 41 of the VAT Law, in addition to the tax due. ZATCA's penalty-waiver initiative, extended to 31 December 2026, covers late-registration fines subject to conditions, chiefly paying the principal tax and filing outstanding returns.
Can a small real estate office register for VAT voluntarily?▾
Yes, if its annual supplies or expenses reach SAR 187,500 without exceeding SAR 375,000, which then allows it to deduct input VAT. Persons whose supplies and expenses are below SAR 187,500 cannot register.
How often must a registered person file VAT returns?▾
Monthly if annual taxable supplies exceed SAR 40 million, and quarterly otherwise. The return must be filed and the tax paid by the last day of the month following the end of the tax period.
