Short Definition

A gift deed is the official document proving that ownership of a property has passed from a donor to a donee during the donor's lifetime and without consideration.

Overview

A gift deed is the official document proving that ownership of a property has passed from a donor to a donee during the donor's lifetime and without consideration. It is issued after the gift is documented with the competent authority (a notary via the Najiz platform, or the Real Estate Registry in areas under registration). The Civil Transactions Law defines a gift as a contract by which the donor, during his lifetime, transfers ownership of property to the donee without consideration (Article 366). The key Saudi requirement is that a gift of real estate is only concluded when documented according to the statutory rules (Article 368), so an oral gift or an informal paper does not transfer ownership of property. The donor may impose an obligation on the donee; if he requires consideration, the contract becomes an exchange governed by the rules of sale. The donor does not warrant the property against defects or third-party claims unless he deliberately concealed them, and if the property is burdened by a mortgage securing a debt, the donee must pay that debt up to the property's value unless agreed otherwise. The costs of the gift and transfer fall on the donee unless agreed otherwise. Gifts have important tax and inheritance effects. A documented gift to a spouse or a relative up to the third degree is exempt from the 5% Real Estate Transaction Tax under its implementing regulation and conditions, while a gift to others may be taxable. Revocation is restricted: it is possible with the donee's consent, or by court order in defined cases such as a parent's gift to a child where there is justification, and it is barred if the donee has disposed of the property or made a significant attached improvement. A gift made during a terminal illness takes the legal treatment of a bequest.

Legal Basis

Civil Transactions Law issued by Royal Decree No. (M/191) dated 29/11/1444H: Article 366 (definition of gift), Article 368 (a gift of real estate is concluded only upon documentation), Articles 372 and 374 (donor's warranty and payment of a mortgage-secured debt on the gifted property), Article 375 (costs), Articles 376-381 (revocation and its bars) and Article 647 (gifts during terminal illness take the treatment of a bequest). Real Estate Registration Law issued by Royal Decree No. (M/91) dated 19/9/1443H (Article 13) on registering dispositions. The Real Estate Transaction Tax implementing regulation effective 10 April 2025 on exempting gifts to a spouse and relatives up to the third degree.

Practical Example

Abu Faisal wants to gift his daughter a flat in Jeddah worth SAR 900,000. He documents the gift electronically through Najiz with both parties, and a new deed is issued in his daughter's name. Because it is a documented gift to a daughter (a relative within the third degree), no Real Estate Transaction Tax is due, which would otherwise have been SAR 45,000 (5%). Later he considers gifting a similar flat to a friend, and his adviser warns that the exemption does not cover friends and tax may be due. Two years on, the father wants his daughter's flat back, and learns he can only recover it with her consent or by court order if there is justification, and that recovery would be barred altogether had she sold the flat or added a significant construction to it.

Common Mistakes

  • ✗Relying on an oral gift or informal paper, although a gift of real estate is legally concluded only upon documentation.
  • ✗Assuming every gift is exempt from Real Estate Transaction Tax, when the exemption covers only a spouse and relatives up to the third degree, subject to the regulation's conditions.
  • ✗Labelling a sale a 'gift' to avoid tax while receiving a hidden price, which is a tax violation; a gift with consideration is also treated legally as an exchange.
  • ✗Thinking the donor can revoke at will, when revocation requires the donee's consent or a court order in defined cases.
  • ✗Gifting a mortgaged property without telling the donee, who must pay the mortgage-secured debt up to the property's value unless agreed otherwise.

International Differences

Treatment of property gifts varies internationally. In the UAE, gifts are registered with each emirate's land department, and some emirates apply reduced transfer fees to gifts between relatives. In Turkey, a gifted property is transferred at the land registry (Tapu) and the donee is subject to inheritance and gift tax (Veraset ve İntikal Vergisi). Egypt's Civil Code requires a formal instrument for a gift of real property. In the UK, a gift may be brought into inheritance tax if the donor dies within seven years. Saudi Arabia imposes no gift or inheritance tax and simply exempts family gifts from Real Estate Transaction Tax.

FAQs

Is a gift of real estate valid without documentation?▾
No. The Civil Transactions Law provides that a gift of real estate is concluded only when documented under the statutory rules, either through a notary via the Najiz platform or through the Real Estate Registry in areas under registration.
Is gifting property to one's children exempt from Real Estate Transaction Tax?▾
Yes. A documented gift to a spouse or a relative up to the third degree, including children, is exempt from the 5% Real Estate Transaction Tax under the implementing regulation and its conditions.
Can the donor take the property back after gifting it?▾
Revocation is possible if the donee agrees to return the property; otherwise the donor may ask the court in defined cases, such as a parent's gift to a child where there is justification or breach of an agreed obligation. Recovery is barred if the donee has disposed of the property or it has perished.
Who pays the costs of a gift?▾
The costs of the gift contract and of delivering and transferring the gifted property are borne by the donee, unless the parties agree otherwise.
What is the status of a gift made during a terminal illness?▾
A gratuitous disposition made during a terminal illness takes the legal treatment of a bequest under the Civil Transactions Law, so it is subject to the rules and limits of bequests rather than ordinary gift rules.
