Short Definition
A tax audit (tax examination) is ZATCA's review of a taxpayer's returns, books, invoices and records to verify what was declared; it may end by confirming the return or by issuing an amended assessment with additional tax and penalties.
Overview
Legal Basis
The Implementing Regulations of the VAT Law (M/113 dated 2/11/1438H) govern examination and assessment procedures, including the 20-day notice and the five-year limit, and Article 45 of the Law fines obstruction of ZATCA staff by up to SAR 50,000. Article 65 of the Income Tax Law (M/1 dated 15/1/1425H) sets a five-year assessment period, extended to ten years for evasion, and Article 106 of the Implementing Regulations for Zakat Collection sets the zakat assessment periods. Objections follow the procedures of the Zakat, Tax and Customs violations and disputes committees.
Practical Example
A company leases a mixed-use tower in Jeddah: 40% of its income is exempt residential rent and 60% taxable commercial rent. ZATCA examined two years of returns and found the company had deducted all SAR 400,000 of input VAT on shared costs, although the share linked to exempt income (40%) is not deductible. ZATCA issued an assessment disallowing SAR 160,000, with the incorrect-return fine of 50% of the difference (SAR 80,000), and late-payment fines may be added. The company objected within 60 days, arguing that some costs related only to the shops and were fully deductible, and supplied invoices and contracts to prove it, so the disallowed amount was reduced. The lesson: documented cost allocation before an audit is cheaper than defending it afterwards.
Common Mistakes
- ✗Ignoring or delaying responses to ZATCA requests — obstructing ZATCA staff is a violation fined up to SAR 50,000 and invites an estimated assessment.
- ✗Missing the 60-day objection window from notification — ZATCA's decision becomes final and hard to challenge.
- ✗Not keeping documented lease contracts and unit-classification records — without them it is hard to prove that rent is exempt residential or that a cost belongs to the commercial part.
- ✗Assuming an audit covers only the latest year — it typically reaches back five years, and longer in cases of evasion or non-registration.
- ✗Filing a general objection without evidence, or without separating accepted items from disputed ones — this weakens the taxpayer's position and prolongs the dispute.
International Differences
Tax administrations worldwide rely on risk-based audits, with limitation periods that vary by country. In the UAE, tax audits typically reach back five years, longer in cases of evasion or non-registration. In Turkey and Egypt, tax procedure laws regulate examinations, limitation periods and stages of administrative and judicial appeal. The Saudi system features a largely unified objection route through ZATCA and then the Zakat, Tax and Customs committees, with an internal settlement option, and zakat assessment periods that can be unlimited where false documents are proven.
