Short Definition
Real estate development is the activity of turning raw land or an existing property into a residential, commercial, office or service project ready for sale or lease, through stages that start with a feasibility study and end with handover and operation.
Overview
Legal Basis
There is no single "real estate development law"; development is governed by a set of laws: the Saudi Building Code Implementation Law (Royal Decree No. M/43 dated 26/4/1438H), which applies the code to all public and private construction (Art. 2), makes compliance a condition for building permits (Art. 6) and prohibits occupying a building without an occupancy certificate (Art. 9); the Off-Plan Sale and Lease of Real Estate Projects Law (Royal Decree No. M/44 dated 10/3/1445H) and its implementing regulations when units are sold or leased before completion; the Law of Ownership, Partition and Management of Real Estate Units (M/85 dated 2/7/1441H) when units are partitioned; and the building-permit requirements of the Balady platform run by the Ministry of Municipalities and Housing.
Practical Example
A development company owns a 3,000 m² plot in north Riyadh worth SAR 9,000,000 and plans a 24-apartment residential complex with 7,500 m² of built-up area. It estimates construction at SAR 12,000,000 (SAR 1,600 per m²) and soft costs (design, supervision, soil test, fees and inherent defects insurance) at SAR 1,500,000, for a total cost of SAR 22,500,000. If the apartments sell at an average of SAR 1,150,000, revenue is SAR 27,600,000 and the gross margin about SAR 5,100,000 (roughly 22.7% of cost) before financing and marketing. If it decides to sell off-plan, it must first register as a developer, license the project with REGA and deposit buyers' payments into the escrow account.
Common Mistakes
- ✗Starting design before a feasibility study that covers soft costs, financing and sales period, then discovering the margin does not cover the risks.
- ✗Marketing units off-plan and collecting reservation money without a REGA licence, an offence punishable by up to 5 years in prison or a fine of up to SAR 10 million.
- ✗Leaving the soil report and inherent defects insurance out of the schedule and budget, although both are requirements for a Balady building permit.
- ✗Hiring an unclassified contractor or an unlicensed engineering office, which blocks the permit and exposes the project to building-code violations.
- ✗Assuming the building permit is enough to operate the building, whereas occupancy is only allowed with an occupancy certificate.
International Differences
In the UAE (Dubai), developers are registered and licensed by local real estate regulators and off-plan payments go into escrow accounts, a model close to Wafi. In Egypt, early sales of units before construction are common and buyers rely heavily on contract terms and developer reputation. In Turkey, the "flats-for-land" model (kat karşılığı inşaat) is widespread, where the landowner receives units instead of cash. Saudi Arabia stands out for tying the building permit to the building code and mandatory inherent defects insurance, and tying pre-completion sales to a project licence and escrow account.
