Short Definition
Real estate portfolio management is managing a group of property assets as a single whole to achieve the best possible return for an acceptable level of risk.
Overview
Legal Basis
Collective real estate investment is governed by the Capital Market Law (Royal Decree No. M/30 dated 2/6/1424H) and the Real Estate Investment Funds Regulations issued by the CMA Board under Resolution No. 1-193-2006, as amended; listed REITs must distribute at least 90% of net profits annually. Managing properties on owners’ behalf is a real estate service under the Real Estate Brokerage Law (M/130 dated 30/11/1443H) requiring a REGA Fal licence. Property transfers are subject to the 5% Real Estate Transaction Tax administered by the Zakat, Tax and Customs Authority (ZATCA), under a new implementing regulation in force since 10 April 2025, and commercial rent is subject to 15% VAT.
Practical Example
A family office in Riyadh owns a SAR 60 million portfolio: a residential building in Riyadh worth SAR 22 million yielding SAR 1,540,000, retail shops in Jeddah worth SAR 18 million yielding SAR 1,440,000 before VAT, a warehouse in Dammam worth SAR 12 million yielding SAR 1,020,000, and REIT units worth SAR 8 million that distributed SAR 480,000. Total income is SAR 4,480,000, a gross yield of about 7.5%. The office notes that 37% of value sits in the Riyadh building, whose income will not grow during the freeze, and that all the Jeddah leases expire in the same month. It decides to buy a second logistics warehouse for SAR 10 million, budgeting the 5% Real Estate Transaction Tax, SAR 500,000, as part of the deal cost, and restructures the Jeddah renewals so they are spread across the year.
Common Mistakes
- ✗Concentrating most value in one city, sector or tenant, so a single shock hits the whole portfolio.
- ✗Assuming annual income growth for let Riyadh properties during the rent freeze that runs to 2030.
- ✗Ignoring the 5% Real Estate Transaction Tax and transaction fees when calculating expected returns on a purchase or sale.
- ✗Managing or pooling other investors’ money for real estate investment without a CMA licence.
- ✗Leaving lease expiries clustered in one period, multiplying the risk of simultaneous vacancies.
International Differences
Real estate portfolio management rests on the same principles worldwide: diversification, lease-expiry management, disciplined leverage and independent valuation. REITs are widespread in the United States, Europe and Asia; in the UAE property funds are listed on local exchanges; in Turkey real estate investment companies (GYO) are supervised by the Capital Markets Board; and in Egypt collective real estate investment is still less common. Saudi Arabia combines a listed REIT market regulated by the CMA, REGA oversight of property management, and specific factors that must be modelled, such as the Real Estate Transaction Tax and the Riyadh rent freeze.
