Overview

The Commercial Register in Saudi Arabia is an official document issued by the Ministry of Commerce for every entity practicing a commercial activity, considered the legal birth certificate of the company. The register contains a unique identification number, the entity name, activity, capital, partners, and business address. It is a prerequisite for practicing any legal commercial activity, including leasing and renting commercial properties. In the real estate sector, the Commercial Register is a foundation for two parties: on one hand, the owner (if a company or institution) needs a Commercial Register to include real estate activity within its permitted activities. On the other hand, the commercial tenant is obliged to present their Commercial Register when documenting the contract on Ejar, and the conformity of their permitted activity with the type of leased property (administrative offices, commercial shops, warehouses) is verified. The Commercial Register has undergone substantial developments under the Business Digitalization initiative: its issuance and renewal have become automated via the Commerce e-platform, and the new Commercial Register Law 1444 AH was launched, which eliminated the need for separate certificates for each branch, making the register a unified document. Annual renewal fees for some register categories were also abolished to facilitate the business environment.

Legal Basis

The Commercial Register is based on the new Commercial Register Law issued by Royal Decree No. (M/40) of 1444 AH, which replaced the old law issued in 1395 AH. It is also subject to the Companies Law issued by Royal Decree No. (M/132) of 1443 AH. The Ejar platform requires, in commercial contracts, conformity between the tenant activity listed in the register and the nature of the property; if not conforming, contract documentation is refused. The Ministry of Commerce also integrates with ZATCA to enable verification of the register tax validity.

The system automatically verifies: (1) register validity, (2) conformity of the «Wholesale Trade» activity with the nature of the property «warehouse», (3) absence of restrictions on the company. After verification, contract issuance is permitted, and it is directly linked to the company account at ZATCA for calculating 15% VAT on commercial rent.
