Legal Basis
The Commercial Register is based on the new Commercial Register Law issued by Royal Decree No. (M/40) of 1444 AH, which replaced the old law issued in 1395 AH. It is also subject to the Companies Law issued by Royal Decree No. (M/132) of 1443 AH. The Ejar platform requires, in commercial contracts, conformity between the tenant activity listed in the register and the nature of the property; if not conforming, contract documentation is refused. The Ministry of Commerce also integrates with ZATCA to enable verification of the register tax validity.
Practical Example
Gulf General Trading Company in Dammam, with a Commercial Register listing its main activity as «Wholesale Trade in Electronic Devices». It wants to rent a warehouse of 800 square meters in the Industrial district with an annual rent of SAR 180,000. When documenting on Ejar, the broker enters the company Commercial Register number and the property number. The system automatically verifies: (1) register validity, (2) conformity of the «Wholesale Trade» activity with the nature of the property «warehouse», (3) absence of restrictions on the company. After verification, contract issuance is permitted, and it is directly linked to the company account at ZATCA for calculating 15% VAT on commercial rent.
Common Mistakes
- ✗Practicing a commercial activity not listed in the Commercial Register — exposes the entity to violations and Ejar refuses contract documentation.
- ✗Neglecting to renew the Commercial Register upon expiry — an expired register disrupts all transactions including real estate.
- ✗Assuming a branch register suffices for main activity — the main register is the foundation and its branches follow it.
- ✗Not updating the address in the register when moving to a new property — must be updated within 30 days according to the Commerce Law.
- ✗Confusing the Commercial Register with the municipal license — the register is from the Ministry of Commerce and the license is from the municipality, and both are required.
International Differences
Commercial Register systems differ between countries. In the UAE, the Trade License is issued by the Departments of Economic Development in each emirate (DED), combining the register and license in one document. In Turkey, the Ticaret Sicili is kept at local Chambers of Commerce. In Egypt, the Commercial Register is issued by the General Authority for Investment or commercial registry offices. In the UK, Companies House handles company registration and grants a Company Number. In the US, registration is decentralized and differs between states (e.g., New York and Delaware are most common). The Saudi advantage in the new 1444 AH Commercial Register is full unification (one register for the entire entity with its branches) and automatic issuance within minutes.
