Short Definition
Amicable resolution is settling a dispute by agreement of the parties without a binding court judgment or arbitral award, whether through direct negotiation or with the help of a neutral third party by mediation, conciliation or settlement.
Overview
Amicable resolution is settling a dispute by agreement of the parties without a binding court judgment or arbitral award, whether through direct negotiation or with the help of a neutral third party by mediation, conciliation or settlement. Unlike litigation and arbitration, the parties themselves shape the outcome rather than having it imposed, which usually makes it faster, cheaper and better at preserving the landlord–tenant relationship.
Saudi Arabia has an integrated framework for amicable resolution. The Taradhi platform, run by the Ministry of Justice’s Reconciliation Center, lets parties request conciliation and hold sessions remotely, and the Ministry treats settlement documents issued there as executive instruments enforceable through the execution courts if breached. The Saudi Real Estate Arbitration Center under REGA has a conciliation and settlement office handling real estate disputes, including lease disputes. During a lawsuit, the parties may ask the court to record their settlement in the case minutes, and the court issues a deed accordingly (Article 70 of the Law of Civil Procedure). Article 9 of the Execution Law lists settlement records issued by authorised bodies or certified by the courts as executive instruments.
Substantively, amicable resolution is governed by the settlement contract under the Civil Transactions Law: a contract that ends an existing dispute or prevents a potential one by each party giving up all or part of its claim, extinguishing the waived rights without recourse (Articles 391 and 401). Settlement is voluntary in principle, so no one can be forced to accept it. The key practical difference is that an undocumented agreement usually needs a judgment before it can be forcibly enforced, whereas a settlement documented through an authorised body can be enforced directly.
⚖️ Legal Basis
Civil Transactions Law, Royal Decree No. M/191 dated 29/11/1444H: Articles 391–401 (the settlement contract, its elements and effects). Execution Law (M/53 dated 13/8/1433H): Article 9, which lists settlement records issued by authorised bodies or certified by courts as executive instruments. Law of Civil Procedure (M/1 dated 22/1/1435H): Article 70 on recording a settlement in the case minutes. The Ministry of Justice treats settlement documents issued via Taradhi as executive instruments, and the Saudi Real Estate Arbitration Center offers conciliation and settlement in real estate disputes.
💡 Practical Example
The owner of a commercial complex in Khobar claims SAR 40,000 in common-area service charges for two years from a shop tenant, who objects that some services were never provided. Rather than a lawsuit that could run for months with expert evidence, the owner files a conciliation request on Taradhi and a remote session is held with a conciliator. The parties agree on SAR 25,000 paid in two instalments of SAR 12,500 within two months, with the owner waiving the balance only for the two years of charges in dispute. A settlement document is issued that counts as an executive instrument; the tenant pays both instalments and the tenancy continues under a renewed lease.
⚠️ Common Mistakes
- ✗Relying on a verbal settlement or undocumented messages — it cannot be enforced directly if breached and must first be proven in a lawsuit.
- ✗Drafting a waiver with no defined scope — waived rights are extinguished without recourse, so the waiver must be precise.
- ✗Confusing settlement with arbitration — arbitration produces a binding award and requires an arbitration agreement, while settlement is an agreement the parties make themselves.
- ✗Assuming negotiation suspends legal deadlines — the period to challenge a judgment, for example, does not stop just because talks are under way, so a challenge should be filed on time.
- ✗Including late-payment penalties on settlement instalments — agreed compensation is not allowed where the obligation is a sum of money.
🌍 International Differences
In Turkey, mediation has been mandatory before most tenancy lawsuits since 1 September 2023, and a settlement agreement can acquire enforceability under set conditions. In Dubai, rental disputes usually pass through an amicable settlement stage within the Rental Disputes Settlement Centre before adjudication. In common-law systems, mediation is an established part of case management. In Saudi Arabia, settlement in rental disputes is generally voluntary but digitally supported through Taradhi and the conciliation office of the Saudi Real Estate Arbitration Center, with direct executive force for documented settlements.
FAQs
What is the Taradhi platform?▾
An electronic platform of the Ministry of Justice’s Reconciliation Center that lets parties request conciliation and hold sessions remotely with conciliators; the Ministry treats settlement documents issued there as executive instruments enforceable through the execution courts.
Is a settlement binding once signed?▾
Yes. A settlement contract extinguishes the rights and claims each party waived, and neither party nor their heirs may go back on it, under Article 401 of the Civil Transactions Law.
How does amicable resolution differ from real estate arbitration?▾
Amicable resolution is an agreement the parties reach themselves or with a conciliator’s help. Arbitration is decided by an arbitrator in a binding award, requires an arbitration agreement, and is enforced only after an execution order is appended.
Can the parties settle after a lawsuit is filed?▾
Yes. At any stage of the case, the parties may ask the court to record their settlement in the case minutes, and the court must issue a deed accordingly (Article 70 of the Law of Civil Procedure).
Does the Saudi Real Estate Arbitration Center offer amicable options?▾
Yes. The center, which operates under REGA, provides conciliation and settlement services alongside arbitration for real estate disputes, including lease disputes, through electronic procedures.
