Short Definition

A warehouse is a building or facility used for the permanent or temporary storage of goods and materials, with loading, unloading and handling areas; in Saudi Arabia it is a municipally licensed activity that must be located in areas designated for warehouses or in industrial zones.

Overview

A warehouse is a building or facility used for the permanent or temporary storage of goods and materials, with loading, unloading and handling areas; in Saudi Arabia it is a municipally licensed activity that must be located in areas designated for warehouses or in industrial zones. It includes general, refrigerated, humidity-controlled, covered (shaded) and open warehouses. The Ministry of Municipalities and Housing (MOMAH) regulates this type through its Warehouses and Storage Requirements, issued by Ministerial Decision No. 4600327053/1 dated 8/10/1446H (2025), which cover low- and medium-hazard warehouses, stores and self-storage units. Warehouses are classified by the hazard of the stored goods under the Saudi Building Code SBC 201 (storage group S): medium hazard S1, such as cardboard and plastics, and low hazard S2, such as non-combustible building materials. The minimum site area is 400 m² for a medium-hazard warehouse and 300 m² for a low-hazard one, with a front setback of at least 6 m. High-hazard storage (highly flammable, explosive, toxic or radioactive materials) is excluded from these requirements and must be located within the areas of the Saudi Authority for Industrial Cities and Technology Zones (MODON), like heavy industry. A licence requires Civil Defense approval before issue and a valid commercial registration covering the activity, and MOMAH gave investors a 180-day grace period from publication of the updates to regularise their status. The requirements distinguish a warehouse from a store: a store is a smaller facility inside the urban area, either attached to a sales outlet or standalone under specific controls, and self-storage units have their own rules. When leased, the contract is documented on Ejar as a commercial lease and the rent carries 15% VAT when the landlord is VAT-registered. In practice tenants focus on clear height, number of doors and loading docks, floor load capacity and truck access; these are market specifications that vary between buildings, not part of the legal definition.

Legal Basis

Warehouses are governed by MOMAH's Warehouses and Storage Requirements, issued by Ministerial Decision No. 4600327053/1 dated 8/10/1446H, which refer licence issue, renewal and cancellation to the Municipal Licensing Procedures Law and its regulation, require Civil Defense approval and a valid commercial registration, adopt the hazard classification of the Saudi Building Code SBC 201 (S1 and S2) made mandatory by the Saudi Building Code Application Law, Royal Decree M/43 dated 26/4/1438H, and exclude high-hazard storage to MODON areas. Warehouse leases are documented on Ejar as commercial contracts and are subject to 15% VAT.

Practical Example

A distribution company leases a warehouse with 1,000 m² of built area on a 1,500 m² plot in a warehouse-designated area in Dammam to store goods packed in cardboard and plastic, which makes it a medium-hazard (S1) warehouse. The site exceeds the 400 m² minimum and the 6 m front setback is met. Rent is SAR 150 per m² a year = SAR 150,000; since the landlord is VAT-registered, 15% (SAR 22,500) is added, for SAR 172,500 a year. The lease is documented on Ejar as a commercial contract with a SAR 200 fee for the first year, and before operating the company obtains Civil Defense approval and a municipal licence with a CR that includes storage. If it later wanted to store highly flammable solvents in quantities that make the storage high-hazard, this site would not qualify and it would have to move to a MODON area.

Common Mistakes

  • ✗Assuming any yard or plot inside a residential district can serve as a warehouse, although a warehouse must be in an area designated for warehouses or an industrial zone.
  • ✗Storing highly flammable or hazardous chemicals in a warehouse licensed for low- or medium-hazard goods, although high-hazard storage belongs in MODON areas.
  • ✗Signing the lease before confirming that Civil Defense approval and a municipal licence can be obtained for the site and activity.
  • ✗Leaving out the 15% VAT and Ejar commercial fees when calculating the annual cost of the warehouse.
  • ✗Ignoring the 180-day grace period MOMAH granted for existing warehouses to comply with the updated requirements.

International Differences

In the UAE, warehouses are concentrated in free zones and logistics districts that have their own licensing authorities. In Turkey and Egypt, a warehouse must likewise sit in a zone permitted by the zoning plan, and in Turkey it needs a municipal workplace opening and operating licence. Saudi Arabia stands out for a single national MOMAH requirement that sets minimum site areas by hazard class and explicitly moves high-hazard storage into MODON industrial cities.

FAQs

Where can warehouses be located in Saudi Arabia?▾
Under MOMAH's Warehouses and Storage Requirements issued in 1446H, a warehouse must be located in an area designated for warehouses or in an industrial zone. Small stores attached to sales outlets and self-storage units have their own location rules.
What is the minimum plot size for a warehouse?▾
The minimum site area is 400 m² for a medium-hazard (S1) warehouse and 300 m² for a low-hazard (S2) warehouse, with a front setback of at least 6 m under MOMAH's requirements.
Can flammable or hazardous materials be stored in an ordinary warehouse?▾
No. High-hazard storage of highly flammable, explosive, toxic or radioactive materials is excluded from the municipal requirements and must be located within the areas of the Saudi Authority for Industrial Cities and Technology Zones (MODON), like heavy industry.
What is the difference between a warehouse and a store?▾
In MOMAH's requirements a warehouse sits in warehouse or industrial areas, while a store is a smaller facility inside the urban area, attached to a commercial activity or standalone to serve commercial and light-industrial activities. Each has different location rules.
Is warehouse rent subject to VAT?▾
Yes. Warehouse rent is non-residential and is subject to 15% VAT when the landlord is VAT-registered. The lease is documented on Ejar as a commercial contract with fees of SAR 200 for the first year and SAR 400 for each additional year.
