Overview
Real estate investment is the deployment of capital into owning property or rights in property, directly or through funds and financial instruments, to earn a return from rent, capital appreciation or development while bearing market, liquidity and regulatory risk.
In Saudi Arabia it takes several forms: direct ownership of land, units and buildings let under leases documented on the Ejar platform supervised by the Real Estate General Authority (REGA); real estate development, including off-plan sales governed by the Law of Sale and Lease of Off-Plan Real Estate Projects (Royal Decree M/44 of 10/3/1445H), which requires a project escrow account; and indirect investment through private and public real estate funds regulated by the Capital Market Authority, including listed REITs, which must distribute at least 90% of net profits annually and keep at least 75% of assets in developed, income-generating property. Since January 2026 the new Non-Saudi Real Estate Ownership Law (Royal Decree M/14 of 19/1/1447H) has been in force.
Investors must budget for Saudi-specific costs: the 5% Real Estate Transaction Tax on each transfer of ownership; 15% VAT on commercial rent, with residential rent exempt; Ejar documentation fees (SAR 125 per contract year for residential leases); white land and vacant property fees in covered areas; and the five-year freeze on annual rent increases in Riyadh from 25 September 2025. Financing requires a valuation from an accredited valuer, and marketing requires a broker licensed by REGA. Real estate is less liquid than equities, and returns depend on location, management quality and timing.
⚖️ Legal Basis
The rules are spread across several laws: the Real Estate Brokerage Law (Royal Decree M/130 of 30/11/1443H) for marketing and real estate services; the Law of Sale and Lease of Off-Plan Real Estate Projects (Royal Decree M/44 of 10/3/1445H) and its escrow account; the CMA Real Estate Investment Funds Regulations as amended by Board Resolution 1-54-2025 dated 23/11/1446H; the Real Estate Transaction Tax Law issued by Royal Decree M/84 of 19/3/1446H at 5%, with its implementing regulation effective 10 April 2025; and the Non-Saudi Real Estate Ownership Law (Royal Decree M/14 of 19/1/1447H), in force since January 2026.
💡 Practical Example
Abdullah has SAR 3,000,000 and compares two options: (1) buying four apartments in Riyadh at SAR 750,000 each and letting them for SAR 48,000 a year each, a 6.4% gross yield before maintenance and vacancy, with no annual rent increases possible during the freeze; (2) buying units in listed REITs that distribute at least 90% of net profits, with more liquidity but unit prices that fluctuate with the market. He chooses a mix: two apartments for SAR 1,500,000, REIT units for SAR 1,350,000, and a SAR 150,000 cash reserve for maintenance and emergencies.
⚠️ Common Mistakes
- ✗Calculating returns on gross rent without deducting vacancy, maintenance and management fees, and ignoring transaction tax on exit.
- ✗Buying off-plan without checking the project licence and escrow account under the off-plan sales law.
- ✗Dealing with an unlicensed broker or an advertisement without a REGA advertising licence.
- ✗Overlooking the effect of the Riyadh rent freeze on plans to raise rents.
- ✗Concentrating all savings in one highly leveraged property with no cash reserve.
🌍 International Differences
Dubai allows foreign freehold ownership in designated areas with registration fees at the Dubai Land Department; Turkey allows foreign ownership with title deed fees (tapu harcı) and a citizenship-by-investment route; Egypt subjects foreign ownership to special controls. Saudi Arabia is distinctive for its 5% transaction tax on every transfer of ownership, a new non-Saudi ownership law since January 2026, and REITs governed by mandatory distribution and investment rules.
