Short Definition

Office space is a property, or part of one, designated and licensed for office, administrative and professional activities - company headquarters, consultancies, real-estate offices and service offices - whether it is an office in a commercial building, a whole floor or a standalone office building.

Overview

Office space is a property, or part of one, designated and licensed for office, administrative and professional activities - company headquarters, consultancies, real-estate offices and service offices - whether it is an office in a commercial building, a whole floor or a standalone office building. Sizes and prices vary with location, building quality, services and parking, and the market usually grades office buildings as A, B or C by quality, fit-out and location; these are market labels, not legal classes. The Ministry of Municipalities and Housing regulates offices through its Office Requirements (1446H/2024): the municipal licence is issued under the Municipal Licensing Procedures Law and its regulation, Civil Defense approval must be obtained before the licence is issued, and a valid commercial registration covering the activity is required. An external office in an existing building must be within sites designated for commercial or mixed use or within commercial complexes, with a minimum area of 18 m2, while an internal office in a standalone building must be within commercial-use sites and follow the local building regulations. Open floors may be partitioned into offices of at least 18 m2 each with a shorter side of at least 4 m and a separate entrance, additional activities may not exceed 50% of the licensed area, and offices may not be used as living quarters. Under the Saudi Building Code (SBC 201), offices fall within Business occupancy Group B. An office lease is a commercial lease: it is documented on Ejar for SAR 200 for the first year and SAR 400 for each additional year, and the rent carries 15% VAT if the landlord is registered (mandatory registration threshold: SAR 375,000 of taxable supplies). Ejar has stated (Okaz, 19 July 2025) that adding new terms or clauses to a commercial contract removes its executive-instrument status, so collection then requires an ordinary lawsuit. In Riyadh, annual increases in residential and commercial rents are frozen for five years from 25 September 2025, and the sale of an office attracts the 5% Real Estate Transaction Tax instead of VAT.

Legal Basis

Offices are governed by the Office Requirements of the Ministry of Municipalities and Housing (1446H/2024) under the Municipal Licensing Procedures Law, with Civil Defense approval and a valid commercial registration, and by the Saudi Building Code (Business Group B) under its Application Law, Royal Decree M/43 dated 26/4/1438H. Commercial leases are documented on the REGA-supervised Ejar network and carry 15% VAT under the VAT Law, Royal Decree M/113 dated 2/11/1438H; the leasing brokerage commission is 2.5% of the first year's rent unless otherwise agreed (Art. 14 of the Real Estate Brokerage Law, M/130 dated 30/11/1443H). A new Execution Law (M/237 dated 3/11/1447H) is expected to take effect around late October 2026.

Practical Example

An engineering consultancy leases a 120 m2 office in a commercial building in Jeddah at SAR 900 per m2 a year, i.e. SAR 108,000 a year, for 3 years. The landlord is VAT-registered, so 15% = SAR 16,200 is added, bringing the annual total to SAR 124,200. Ejar documentation for the commercial contract costs 200 + 400 + 400 = SAR 1,000, and the broker's commission, unless otherwise agreed, is 2.5% x 108,000 = SAR 2,700 (plus VAT if the broker is registered). Before starting work the firm obtains a municipal licence through Balady after Civil Defense approval. Because it asked to add a special fit-out clause, it knows the commercial contract will lose its executive-instrument status and makes sure the clause is drafted clearly.

Common Mistakes

  • ✗Starting operations before obtaining the municipal licence and Civil Defense approval, or leasing an office on a site not designated for commercial or mixed use.
  • ✗Adding special clauses to an Ejar commercial lease without realising that this removes its executive-instrument status and pushes collection into an ordinary lawsuit.
  • ✗Leaving the 15% VAT out when comparing offers, although it is added to commercial rent when the landlord is registered.
  • ✗Partitioning an open floor into offices smaller than 18 m2 or without separate entrances, contrary to the Office Requirements, which blocks licensing.
  • ✗Using the office as living quarters, or treating the A/B/C building grades as an official, binding classification.

International Differences

Grading offices as A, B or C is an international market convention rather than a uniform legal standard, and its criteria differ between markets. In many international markets, including the UAE, offices are priced per square metre or square foot and may be measured on a "rentable area" that includes a share of common facilities, with separate service charges, so the measurement method should be checked. In markets such as Turkey and Egypt offices inside residential buildings are common under local conditions, whereas the Saudi requirements place offices on commercial or mixed-use sites or in commercial complexes and prohibit their use as housing.

FAQs

What is the minimum office size in Saudi Arabia?▾
Under the Office Requirements of the Ministry of Municipalities and Housing, an external office in an existing building must be at least 18 m2, as must each office created by partitioning an open floor, with a shorter side of at least 4 m. An internal office in a standalone building follows the local building regulations.
Is office rent subject to VAT?▾
Yes. Commercial rent, including office rent, carries 15% VAT when the landlord is registered, and registration is mandatory once taxable supplies exceed SAR 375,000. The exemption applies only to residential rent.
How much does Ejar charge to document an office lease?▾
A commercial contract costs SAR 200 for the first year and SAR 400 for each additional year. A three-year office lease therefore costs SAR 1,000 to document.
Is a documented office lease an executive instrument?▾
An Ejar commercial lease loses its executive-instrument status if the parties add new terms or clauses, as Ejar clarified in July 2025, and collection then requires an ordinary lawsuit. Residential leases remain executive instruments.
What does Grade A office mean?▾
Grading offices as A, B or C is a market convention used by brokers and investors to describe building quality, location and fit-out; it is not an official classification issued by a government body. Rely on the specifications written into the lease rather than the advertised grade.
