Short Definition
A legal opinion is a written assessment prepared by a licensed lawyer on a specific issue or transaction, setting out the applicable laws, the validity of the proposed act, the legal risks and recommendations, based on the facts and documents provided.
Overview
Legal Basis
Code of Law Practice issued by Royal Decree M/38 dated 28/7/1422H: Article 1 (law practice includes rendering consultancy based on Sharia and statutory law), Article 3 (requirements for registration on the roll of practising lawyers), and the provisions on professional duties including the lawyer’s duty of confidentiality. The Ministry of Justice registers lawyers and maintains their rolls.
Practical Example
An investment fund plans to buy a shopping complex in Jeddah for SAR 85,000,000, and the financing bank requires a legal opinion before disbursing. The fund engages a licensed law firm, which verifies the title deed through official services and finds an existing mortgage in favour of another bank and two long leases not documented on Ejar. The opinion concludes that the deal can proceed provided the mortgage is discharged from the sale price at transfer, the two leases are documented or renegotiated, and the parties settle who bears the 5% real estate transaction tax — SAR 4,250,000. The opinion costs SAR 60,000, under 0.1% of the deal value, yet it uncovers risks that would have stalled the financing or passed unexpected liabilities to the buyer.
Common Mistakes
- ✗Relying on advice from someone not licensed to give legal advice — rendering legal consultancy is part of the legal profession, which requires registration and a licence.
- ✗Ignoring the assumptions and qualifications at the end of the opinion — they define the lawyer’s responsibility and how far the conclusion can be relied on.
- ✗Giving the lawyer incomplete documents or outdated copies — an opinion is only as accurate as the information behind it.
- ✗Treating a legal opinion as a guarantee of the outcome of a dispute — it is a professional assessment that does not bind the court.
- ✗Relying on an old opinion after the law has changed — for example after the Civil Transactions Law took effect in December 2023 or the non-Saudi ownership law in January 2026.
International Differences
In international deals and financings, legal opinions are a standard condition — for example capacity-and-authority and enforceability opinions — and professional bodies in the United States and the United Kingdom have developed detailed standards for how they are drafted and qualified. In Turkey a written legal opinion is known as a hukuki mütalaa and may be given by lawyers or specialist academics. In the UAE and Egypt, banks commonly require local-counsel opinions for large financings. In Saudi Arabia demand is growing with the arrival of foreign investors under the non-Saudi ownership law, and the opinion must come from a licensed lawyer.
