Short Definition

A hotel property is a building or complex designed and equipped to provide overnight stays to tourists for a fee together with hospitality services, such as hotels, resorts, hotel villas and hotel apartments, and in Saudi Arabia it may only be operated under a Ministry of Tourism licence.

Overview

A hotel property is a building or complex designed and equipped to provide overnight stays to tourists for a fee together with hospitality services, such as hotels, resorts, hotel villas and hotel apartments, and in Saudi Arabia it may only be operated under a Ministry of Tourism licence. It combines the value of the real-estate asset with the value of the operating business, which is why it is usually valued on expected operating income rather than on rent alone. The activity is governed by the Tourism Law issued by Royal Decree M/18 dated 26/1/1444H (Council of Ministers Resolution 79 dated 25/1/1444H), which replaced the 1436H law, and by the Hospitality Facility Regulation issued by Ministerial Decision 2289 dated 19/5/1444H. The regulation defines a hospitality facility as any place that provides overnight stays to tourists for a fee on a permanent or temporary basis, and requires the licensee to be a legal person holding a commercial registration that includes the operating activity, a municipal licence, a Civil Defense permit, and a connection to the Shomoos system. A licence lasts no more than 3 years and is renewable on an application filed within 60 days before expiry; the licensee must apply for a classification certificate within 180 days of the licence, and hotels and hotel apartments are classified in star categories. Since 1 January 2025, booking platforms may not list any unlicensed hospitality facility, and Article 16 of the Tourism Law punishes violations with penalties including a warning, temporary or permanent closure, downgrading of classification, licence suspension for up to one year or cancellation, and a fine of up to SAR 1,000,000. In practice, ownership and operation are often separated: an individual, company or fund may own the building while a licensed operator runs it under a management agreement or a long lease. Hotel stays bear 15% VAT because they are expressly excluded from the residential-lease exemption, and a sale of the building bears the 5% Real Estate Transaction Tax. Returns are not inherently high, as is often claimed; they depend on occupancy, average room rate, seasons (Hajj, Umrah and events) and operating and periodic refurbishment costs.

Legal Basis

Tourism Law issued by Royal Decree M/18 dated 26/1/1444H and the Hospitality Facility Regulation issued by Ministerial Decision 2289 dated 19/5/1444H (licensee must be a legal person; licence of up to 3 years; classification request within 180 days; connection to the Shomoos system); the licensing authority is the Ministry of Tourism, and Article 16 of the Tourism Law sets the penalties, including a fine of up to SAR 1,000,000. Hotel stays bear 15% VAT because Article 30 of the VAT Implementing Regulations excludes hotels and serviced accommodation from the residential-lease exemption.

Practical Example

A real-estate investment company owns a 120-room hotel building in Jeddah and contracts a licensed hospitality company to operate it. The operator obtains the municipal licence through Balady and the Civil Defense permit, connects the facility to Shomoos, receives a 3-year Ministry of Tourism licence, and then applies for the classification certificate within 180 days. A room sells at SAR 400 per night, so the guest pays SAR 460 including 15% VAT. In a 30-day month at 65% occupancy: 120 × 30 × 65% = 2,340 room-nights, revenue 2,340 × 400 = SAR 936,000 before tax, and VAT collected of SAR 140,400 is remitted to ZATCA. The hotel may be listed on booking platforms only after the licence is issued.

Common Mistakes

  • ✗Receiving guests or listing rooms on booking platforms before the Ministry of Tourism licence is issued — operating without a licence is prohibited, and since 1 January 2025 platforms may not list unlicensed facilities.
  • ✗Assuming an individual owner can hold the hotel operating licence personally — the regulation requires a legal person with a commercial registration covering the activity; an individual can own the building and contract a licensed operator.
  • ✗Pricing stays without VAT — hotels and serviced accommodation are excluded from the residential-lease exemption, so 15% applies when the supplier is registered.
  • ✗Missing licence and classification deadlines — renewal must be requested within 60 days before expiry, and the classification certificate within 180 days of the licence.
  • ✗Basing a feasibility study on assumed "high returns" — returns vary with occupancy, seasonality, operating and refurbishment costs and must be estimated realistically.

International Differences

In most markets hotel ownership and operation are separated through management agreements, franchises or operating leases, which is close to Saudi practice. In the UAE, each emirate's tourism authority licenses and classifies hotels; in Turkey the Ministry of Culture and Tourism issues tourism operation certificates to qualifying establishments alongside municipal licences; in Egypt tourism authorities classify hotels by stars. The Saudi framework stands out for requiring the licensee to be a legal person, mandatory connection to the Shomoos system, and a ban on platforms listing unlicensed facilities.

FAQs

Who licenses hotels in Saudi Arabia?▾
The Ministry of Tourism licenses them under the Tourism Law issued by Royal Decree M/18 dated 26/1/1444H and the Hospitality Facility Regulation. The applicant needs a commercial registration covering the activity, a municipal licence, a Civil Defense permit and a connection to the Shomoos system.
Can an individual obtain a hotel licence?▾
No. The Hospitality Facility Regulation requires the licensee to be a legal person. An individual can own the building and contract a licensed operator, or obtain a "private hospitality facility" permit for independent furnished units he owns under its own regulation.
How long is a hotel licence valid?▾
A hospitality facility licence is valid for no more than 3 years and is renewable. The renewal application must be filed within 60 days before the licence expires, with the renewal requirements met.
Is VAT charged on hotel stays?▾
Yes, at 15%, because the VAT Implementing Regulations exclude hotels, serviced accommodation and temporary accommodation from the residential-lease exemption.
What is the penalty for operating a hotel without a licence?▾
It violates the Tourism Law, whose Article 16 provides penalties including a warning, temporary or permanent closure, licence suspension or cancellation and a fine of up to SAR 1,000,000, with a possible daily fine for continuing violations and doubled penalties for repeat offences. Booking platforms have also been barred from listing unlicensed facilities since 1 January 2025.
