Legal Basis
The contract annex is based on the contractual freedom principle in the Civil Transactions Law issued by Royal Decree No. (M/191) of 1444 AH. The Ejar Platform Regulation requires digital documentation of the annex with the original contract. Upon documentation, the annex becomes an integral part of the contract and is recognized before enforcement courts with the same force as the original contract.
Practical Example
An owner leases a furnished villa in Khobar; the villa contains valuable furniture (original dining table, advanced appliances). Instead of listing all furniture details in the main rental contract, the owner creates a separate annex containing a complete list of 47 items (with brand, quantity, condition, estimated replacement price if damaged). Both parties digitally sign the main contract and the annex in Ejar. At period end, if an item is missing or damaged, the deduction from the deposit is based on the documented annex. This annex protects the lessor from dispute and clarifies the lessee's responsibilities precisely.
Common Mistakes
- ✗Preparing a paper annex outside Ejar believing paper signature suffices — not legally recognized and not enforced in enforcement courts.
- ✗Confusing annex with amendment — amendment changes an existing clause, annex adds a new agreement.
- ✗Annex without original contract number and date — makes it legally unlinked and loses its force.
- ✗Failing to obtain both parties' signatures on the annex — one party's signature is insufficient; the annex is not effective until mutual signing.
- ✗Creating multiple conflicting annexes without clarifying which is latest — creates legal confusion; updating the annex is preferable to adding another conflicting one.
International Differences
In the UAE, annexes are known as 'Addendum' and registered via Ejari. In Turkey, the annex (ek sözleşme) requires notarial documentation for important agreements. In Egypt, annexes are not uniformly regulated. The Saudi advantage: digital documentation mandate ensures the annex carries legal force similar to the original contract without needing intermediaries.
